Terms
Terms & Conditions
-
Applicability
These terms apply to every agreement between Codastra and a client, under which Codastra provides services in the field of custom software, web development and automation. Deviations are only valid if agreed in writing.
-
Quotes and formation of the agreement
All quotes from Codastra are non-binding and valid for 30 days, unless stated otherwise. An agreement is formed once the client has accepted the quote in writing, including by email.
-
Pricing
The prices listed on this website are starting prices excluding sales tax (which varies by state and is 0% in some states) and serve as an indication. The final price is determined in a quote based on the scope of the project. Additional work not included in the quote is billed separately after consultation with the client.
-
Execution and delivery times
Codastra makes every effort to meet agreed delivery times. Stated timelines are indicative unless a binding deadline has been explicitly agreed in writing. Delays caused by the client providing information or materials late are not the responsibility of Codastra.
-
Client cooperation
The client ensures that all information, texts, media and access reasonably required for carrying out the assignment are provided on time.
-
Payment
Payment is due within 14 days of the invoice date, unless otherwise agreed. For larger projects, Codastra may work with a deposit and phased invoicing. If payment is not made on time, the client is automatically in default and Codastra is entitled to suspend work.
-
Intellectual property
All intellectual property rights to the software, websites and other work developed by Codastra transfer to the client once all outstanding invoices have been paid in full, unless otherwise agreed in writing. Any open source or licensed components used remain subject to their own license terms.
-
Warranty and support
Codastra makes every effort to carefully test delivered work. If the client reports a defect within 30 days of delivery that is demonstrably the result of Codastra's work, Codastra will resolve it free of charge. Changes, extensions or maintenance after this period are quoted separately, unless a support agreement is in place.
-
Liability
Codastra's liability for damages arising from the performance of an agreement is limited to the amount invoiced for the relevant assignment, with a maximum of the amount paid out by Codastra's liability insurance in the case in question. Codastra is not liable for indirect damages, including consequential damages and loss of profit, except in cases of intent or gross negligence.
-
Confidentiality
Both parties treat confidential information received from each other with care and do not share it with third parties, unless necessary for carrying out the assignment or legally required.
-
Termination
Neither party may terminate a fixed-term agreement early, unless otherwise agreed in writing. Ongoing agreements, such as support contracts, have a one-month notice period. Codastra may dissolve or suspend the agreement if the client fails to meet its obligations.
-
Governing law and disputes
Dutch law applies to all agreements with Codastra. Disputes are preferably resolved through mutual consultation. If parties cannot reach an agreement, the competent court in the district where Codastra is established has jurisdiction over the dispute.
